By accessing or using Hemera's Services, including APIs, dashboards, analytics tools, and related services (collectively, the "Services"), you agree to these Terms of Service ("Terms"). If you are using the Services on behalf of a company or organization ("Client"), you confirm you have authority to bind the Client to these Terms.

1. Scope of Services
Hemera provides enterprise-grade blockchain data solutions, analytics dashboards, APIs, and related Services.
- Specific features, subscriptions, or custom integrations are governed by the Order Form or written agreement between Client and Hemera.
- Services are provided for internal business use only unless otherwise agreed.
2. Account Registration and Access
- Client must provide accurate, complete, and up-to-date information.
- Maintain account credentials securely; Client is responsible for all activity on its account.
- Hemera may suspend or restrict accounts for violations, security concerns, or inactivity.
- Access may require a valid subscription or license.
3. Subscription, Fees, and Payment
- Fees and payment terms are as set in the Order Form.
- Invoices are due within the timeframe specified; late payments may result in suspension.
- Fees are non-refundable unless explicitly stated.
- Taxes, duties, and other government charges are Client's responsibility.
4. Intellectual Property and License Rights
- Hemera retains all rights to the Services, software, and documentation.
- Client is granted a limited, non-exclusive, non-transferable, royalty-free license to access and use the Services for internal business purposes.
- Client retains ownership of its data and content submitted to Hemera ("Client Data").
- Feedback, suggestions, or enhancements submitted by Client are licensed to Hemera.
5. Data Usage, Privacy, and Compliance
- Hemera collects and processes data only as necessary to provide Services.
- Personal Data usage is governed by our Privacy Policy.
- Client ensures that any Personal Data provided complies with applicable laws, including GDPR, CPRA, and India DPDP 2025.
- Hemera implements industry-standard security measures to protect Client Data.
- Any data breach or unauthorized access will be reported according to applicable laws.
6. Client Data, Feedback, and User-Generated Content
- Client is solely responsible for the accuracy, legality, and rights associated with its data and content.
- Hemera may use Client Data to provide Services, improve features, or for aggregated, anonymized analytics.
- Client grants Hemera a worldwide license to use its data for the purpose of providing the Services.
- Client may provide Feedback or suggestions; all rights in such Feedback are licensed to Hemera.
7. Use Restrictions
Client shall not:
- Reverse engineer, decompile, or attempt to access source code (except where legally allowed).
- Copy, distribute, modify, or create derivative works of the Services.
- Use Services unlawfully or in a way that infringes the rights of any third party.
- Allow third parties to engage in prohibited acts.
- Transmit viruses, malware, or other harmful code.
8. Service Availability, Maintenance, and Updates
- Hemera will use commercially reasonable efforts to provide reliable access.
- Services may be temporarily unavailable due to maintenance, upgrades, or circumstances beyond our control.
- Hemera may update functionality, features, or interfaces, and such updates are considered part of the Services.
9. Warranties and Warranty Disclaimer
- Client warrants it has all necessary rights to its data and content.
- Services are provided "as is" and "as available."
- Hemera disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
- Hemera is not liable for indirect, incidental, consequential, or punitive damages.
- Maximum liability is limited to the greater of $1,000 USD or the fees paid by Client in the 12 months preceding a claim.
- This limitation applies regardless of the form of action, even if Hemera has been advised of potential damages.
11. Confidentiality
- Confidential Information includes technical, business, and financial information.
- Parties must protect Confidential Information and use it solely to fulfill obligations under these Terms.
- Exclusions: publicly available information, independently developed information, or rightfully obtained third-party information.
12. Term, Termination, and Survival
- These Terms remain effective until terminated per the Order Form or mutual agreement.
- Either party may terminate for a material breach if uncured within 30 days.
- Obligations regarding IP, confidentiality, liability, data compliance, and indemnification survive termination.
13. Governing Law and Dispute Resolution
- Governed by California law, without conflict-of-law rules.
- Exclusive jurisdiction: state and federal courts in San Francisco, CA.
- Prevailing party in disputes is entitled to attorneys' fees and costs.
14. AI / Automated Processing
- AI or ML may be used to enhance analytics, predictions, or insights.
- Hemera does not make automated decisions producing significant legal or financial effects without explicit Client consent.
- Transparency and explanations are provided for AI-powered recommendations.
15. Amendments
- Hemera may update these Terms with prior notice (email or website notice).
- Continued use of Services after changes indicates acceptance of the new Terms.
